Think AI (M) Sdn Bhd — ThinkChat AI Agent
By subscribing to or using ThinkChat AI Agent, you confirm that you have read, understood, and agreed to these Terms & Conditions.
1. Service Description
ThinkChat AI Agent is a cloud-based AI platform that helps businesses manage customer interactions, automate responses, capture leads, and handle enquiries across multiple communication channels.
Supported channels include WhatsApp, Facebook Messenger, Instagram, Telegram, Website Live Chat, WeChat, and other supported platforms. Features available may vary depending on your subscribed plan.
2. Subscription Plans
ThinkChat is offered on a subscription basis. Plans may differ in terms of AI conversation limits, AI credits or token usage, number of connected channels, number of users, storage allocation, knowledge base capacity, integrations available, and support levels. The Company reserves the right to modify package features, limits, and pricing with prior notice.
3. Subscription Fees
All subscription fees are payable in advance and billed monthly or annually depending on your selected plan. All fees are stated in Malaysian Ringgit (MYR) unless otherwise specified. You are responsible for ensuring successful payment before the renewal date. Failure to make payment may result in suspension or termination of your account.
4. Auto Renewal
Subscription plans automatically renew at the end of each billing cycle unless cancelled before the renewal date. You may cancel future renewals at any time. Cancellation prevents future billing but does not entitle you to a refund for the current billing period.
5. Free Trials
Free trials may be offered at the sole discretion of ThinkChat. Trials are limited to one per business entity unless otherwise approved. ThinkChat reserves the right to terminate or restrict any trial account suspected of abuse.
6. Fair Usage Policy
To protect platform stability for all customers, you must not abuse AI processing resources, attempt to bypass package limitations, generate excessive automated requests, upload malicious or harmful content, use the platform for spam activities, or use the platform for any unlawful purpose. ThinkChat reserves the right to limit, suspend, or terminate accounts that violate this policy.
7. Customer Responsibilities
You are responsible for maintaining your account security, keeping your login credentials confidential, ensuring all uploaded information is accurate, reviewing AI-generated responses before use, complying with all applicable laws and regulations, and obtaining any necessary consents from your customers. You remain solely responsible for all content, communications, and information processed through your account.
8. Your Content & Knowledge Base
You retain full ownership of all content uploaded to ThinkChat. You confirm that you have all necessary rights and permissions to upload such content. ThinkChat reserves the right to remove content that violates these Terms, applicable laws, or third-party rights.
9. AI Response Disclaimer
ThinkChat uses artificial intelligence to generate responses and process information. AI-generated content may occasionally contain inaccuracies, omissions, or incorrect interpretations. ThinkChat does not guarantee the accuracy or completeness of AI-generated outputs. You remain responsible for validating AI-generated information before relying on it. ThinkChat is not intended to provide legal, medical, accounting, financial, investment, or professional advice.
10. Third-Party Services
ThinkChat may integrate with third-party services including Meta Platforms, WhatsApp Business Platform, OpenAI, Anthropic, Google, Telegram, SMS providers, and others. ThinkChat is not responsible for service interruptions, outages, policy changes, or actions imposed by third-party providers. Any third-party charges are excluded unless explicitly stated in your subscribed package.
11. Data Privacy & Security
ThinkChat takes reasonable measures to protect your data using industry-standard security practices. No online service can guarantee absolute security. By using ThinkChat, you acknowledge and accept the inherent risks associated with internet-based services.
12. Data Ownership
Your data remains your property at all times. ThinkChat does not claim ownership over your uploaded files, conversation records, or business information. You grant ThinkChat permission to process such information solely for the purpose of delivering your subscribed services.
13. Service Availability
ThinkChat aims to maintain high service availability but does not guarantee uninterrupted operation. Service interruptions may occur due to scheduled or emergency maintenance, third-party outages, internet disruptions, infrastructure failures, or force majeure events.
14. Service Suspension
ThinkChat reserves the right to suspend your account immediately if payment is outstanding, if you breach these Terms, if your account is used unlawfully or abusively, or if you violate third-party platform policies.
15. Non-Payment Policy
Accounts with unpaid invoices exceeding 14 days may be suspended without further notice. Accounts with unpaid invoices exceeding 30 days may be terminated. Service restoration requires settlement of all outstanding balances.
16. Intellectual Property
All intellectual property rights relating to ThinkChat AI Agent are owned by Think AI (M) Sdn Bhd or its licensors. This includes all software, branding, trademarks, user interfaces, AI configurations, documentation, workflows, and system architecture.
You are granted a limited, non-exclusive, non-transferable, and revocable right to access and use the platform during your active subscription. You must not copy, resell, reverse engineer, or create derivative products based on ThinkChat, nor remove any branding or proprietary notices.
17. Refund Policy
Subscription fees are generally non-refundable. Refund requests may only be considered in cases of duplicate payments, billing errors, or as required by applicable law. No refunds will be provided for partial subscription periods, unused usage allocations, change of mind, or failure to utilize the service.
18. Account Termination & Data Retention
Upon cancellation or termination, your account access may be removed. ThinkChat may retain backups and account records for operational, security, legal, or compliance purposes. Data may be permanently removed after a reasonable retention period.
19. Limitation of Liability
To the maximum extent permitted by law, the total liability of Think AI (M) Sdn Bhd shall not exceed the subscription fees paid by you during the three months immediately preceding the claim. ThinkChat shall not be liable for loss of profits, loss of revenue, loss of business opportunities, loss of data, or any indirect or consequential damages.
20. Governing Law
This Agreement is governed by the laws of Malaysia. Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of Malaysia.
21. Changes to These Terms
ThinkChat reserves the right to amend these Terms at any time. Material changes will be communicated via email, platform notification, or publication on our website. Continued use of the service constitutes acceptance of the updated Terms.
